Los Angeles, CA 90013, USA (“Inboostr”) wishes to engage you, a Merchant, Business Partner, or Affiliate Partner, as defined below (“Participant”, “You”, or “Your”) to provide Your services to Inboostr in accordance with these terms and conditions (this “Agreement”). Inboostr and Participant are collectively referred to herein as the “Parties” or individually as a “Party.”
Welcome to the Inboostr Affiliate and Partners Program (“Program”). By participating in the Program, you agree to abide by these Terms of Service (“Terms”), which govern your participation in the Program. These Terms are a legal agreement between you, whether as an individual or on behalf of an entity (“You” or “Your”), and Inboostr (“We”, “Us”, or “Our”), regarding your participation in our Program. Our services are SaaS-based digital marketing solutions, including but not limited to TikTok shop management, Amazon account management, eCommerce site design, development and implementation, social media marketing, Google search optimization, paid ads, and more.
1. Eligibility and Enrollment
To participate in the Program, you must apply through our website and be approved by our team. Approval is at our sole discretion.
You must be 18 years or older and have the legal capacity to enter into these Terms.
2. Affiliate Obligations
Promote our services in a manner consistent with good business ethics and in compliance with all applicable laws and regulations.
Use marketing materials provided by us and ensure that your marketing efforts accurately and fairly represent our services.
You are prohibited from using any practices considered fraudulent, deceptive, or unfair by us or under applicable law.
3. Commission and Payments
Commissions are earned on qualifying sales, which occur when a customer purchases through your affiliate link.
Commission rates and payment schedules are detailed in your Affiliate Dashboard and are subject to change at our discretion.
Payments are made through the payment method specified in your Affiliate Dashboard. You are responsible for any taxes associated with your earnings.
4. Intellectual Property
We grant you a non-exclusive, non-transferable, revocable license to use our trademarks, logos, and marketing materials solely for the purpose of promoting our services.
You may not alter, modify, or change these materials without our prior written consent.
5. Confidentiality
During your participation in the Program, you may be exposed to confidential information. You agree not to disclose or use this information except as necessary to participate in the Program.
6. Term and Termination
These Terms will begin upon your acceptance into the Program and will end when terminated by either party.
Either party may terminate the Agreement at any time, with or without cause, by giving the other party written notice of termination.
7. Limitation of Liability
We shall not be liable for any indirect, special, or consequential damages or any loss of revenue, profits, or data arising in connection with this Agreement or the Program.
8. Indemnification
You agree to indemnify, defend, and hold harmless Inboostr and its affiliates, officers, agents, employees, and partners from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your participation in the Program.
9. Miscellaneous
These Terms constitute the entire agreement between you and us concerning the Program.
If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.
10. Changes to the Terms
We reserve the right to modify these Terms at any time. If we make changes that materially affect your rights, we will notify you by email or through the Affiliate Dashboard. Your continued participation in the Program after such changes constitutes your acceptance of the new Terms.
By applying to and participating in the Inboostr Affiliate and Partners Program, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
